Jan Häller advises companies and investors comprehensively on national and cross-border M&A transactions, reorganisations and joint ventures with a particular focus on the financial and insurance industry, including regulatory issues. His advisory practice also covers the entire spectrum of corporate and capital markets law.
Most recently, he advised Deutsche Bahn AG on the sale of its logistics subsidiary Schenker Aktiengesellschaft to the Danish transport and logistics group DSV A/S, the Viessmann Generations Group on the sale and merger of its “Viessmann Climate Solutions” division with Carrier Global Corporation, as well as on further strategic acquisitions of the Viessmann Generations Group (including the co-investment with KKR in Encavis AG, one of the leading platforms for renewable energy, and the investment in the European pharmaceutical developer and manufacturer PharOS). In the area of public M&A, he advised United Internet AG on the co-investment with Morgan Stanley Infrastructure Partners in a takeover bid for Tele Columbus AG, Ralph Dommermuth on increasing his stake in United Internet AG, and KKR on the minority stake in space and technology company OHB SE.
In the financial industry, he recently advised Interritus Limited and Attestor Capital LLP on the sale of their shares in Kommunalkredit Austria AG and Münchener Hypothekenbank eG on the acquisition of all shares in M.M. Warburg & Co Hypothekenbank Aktiengesellschaft. He previously advised FMS-WM on the sale of the Irish DEPFA Bank to the Austrian BAWAG P.S.K. and Commerzbank on its merger talks with Deutsche Bank AG. He also advised Aareal Bank AG on the acquisition of Düsseldorfer Hypothekenbank, Dexia Crédit Local on the sale of Dexia Kommunalbank Deutschland to Helaba Landesbank Hessen-Thüringen, Dr. August Oetker KG on the sale of Bankhaus Lampe KG to Hauck & Aufhäuser, and the Viessmann Generations Group on the acquisition of the Munich-based asset manager Do Investment AG.
