Hengeler Mueller advises on successful squeeze-out

The transfer of the shares held by the minority shareholders of Computerlinks AG to the major shareholder, CSS Computer Security Solutions Erwerbs GmbH, was completed on 20 August 2010. With subsidiaries in 12 European countries, Computerlinks AG is a major value added distributor for leading international manufacturers in the IT industry.
Hengeler Mueller provided advice on preparing for and implementing the squeeze-out. The Hengeler Mueller team included partners Daniela Favoccia, Klaus-Dieter Stephan (both Corporate/M&A) and Hermann-Josef Tries (Tax) as well as associates Andreas Stoll and Antje Hagena (all Frankfurt).
Hengeler Mueller had previously advised on the takeover offer and subsequent delisting as well as on the conclusion of a domination and profit transfer agreement.
